Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the services provided by Onboardio, a brand operated by Expert Negocios ("we", "us", "our"), a company registered in Portugal.
By using our services, you agree to these Terms. If you do not agree, please do not use our services.
2. Services
Onboardio provides financial operations services on a subscription basis, including but not limited to:
- Ongoing accounting and bookkeeping
- Payroll processing
- Tax compliance and declarations
- Financial reporting and control panel access
- Document management and digital archive
The specific services included in your subscription are defined in your service agreement and chosen plan (Starter, Team, or Company).
3. Subscription and billing
- Subscriptions are billed monthly at the beginning of each billing period.
- Prices are displayed excluding VAT unless otherwise stated. VAT will be added according to applicable Portuguese legislation.
- Payment is due within 15 days of invoice date via bank transfer or direct debit.
- Late payments may incur interest at the legal rate and may result in suspension of services.
4. Plan changes
- Upgrades can be made at any time and take effect immediately. Billing is adjusted pro-rata.
- Downgrades require 30 days advance notice and take effect at the start of the next billing period.
- Add-on services can be added or removed with 30 days notice.
5. Minimum commitment
We recommend a minimum commitment period of 3 months to allow us to demonstrate value. After this initial period, you may cancel with 30 days written notice.
6. Your responsibilities
As a client, you agree to:
- Provide accurate and complete financial information and documentation
- Respond to our requests for information within reasonable timeframes
- Notify us promptly of any changes in your business structure, employees, or operations
- Ensure all documents provided are authentic and truthful
- Maintain confidentiality of your control panel login credentials
7. Our responsibilities
We commit to:
- Deliver all services included in your plan with professional competence
- Meet all legal and fiscal deadlines that fall within our scope of service
- Maintain confidentiality of all your business and financial information
- Respond to support requests within the SLA defined by your plan
- Notify you proactively of important deadlines, changes in legislation, or anomalies
8. Limitation of liability
While we strive for accuracy and timeliness, our liability is limited to:
- Direct damages caused by our proven negligence
- A maximum amount equal to 12 months of subscription fees paid
We are not liable for damages resulting from incorrect or incomplete information provided by you, force majeure events, or delays caused by third parties (including tax authorities).
9. Intellectual property
All content on the Onboardio website, including text, design, logos, and software, is our intellectual property or used under license. You may not reproduce, distribute, or create derivative works without our written consent.
Your financial data remains your property. We have no rights to your business data beyond what is necessary to provide the contracted services.
10. Termination
- Either party may terminate the agreement with 30 days written notice after the minimum commitment period.
- We may terminate immediately if you fail to pay for more than 60 days or provide fraudulent information.
- Upon termination, we will deliver all documentation and data in an organized format and support the transition to your new provider.
- Outstanding fees remain due and payable upon termination.
11. Confidentiality
Both parties agree to maintain strict confidentiality of all business information exchanged during the service relationship. This obligation survives termination of the agreement for a period of 5 years.
12. Governing law and disputes
These Terms are governed by Portuguese law. Any disputes shall be submitted to the courts of Lisbon, Portugal, unless otherwise required by applicable consumer protection legislation.
13. Changes to these Terms
We may update these Terms from time to time. We will notify active clients of material changes at least 30 days in advance. Continued use of our services constitutes acceptance of the updated Terms.
